I. Terms of Service

1.1 Definition

  1. “Service” – Keivi Management Software running under the domain name www.keivi.com and Keivi application.
  2. “Keivi Application” – The official version of the Keivi Application is downloaded directly from application distribution platforms, hereinafter referred to as “App Store”.
  3. “Website” – Electronic information page when accessing the address www.keivi.com.
  4. “Content” – Images, icons, articles, and videos posted on the Website.
  5. “Account Owner” – The original registrant; the person holding the administrative account; or the person accessing the store account using the administrative account.
  6. “Store” – The store account set by the customer is in the form abc123.keivi.com, in which the abc123 part is set by the Account Owner.
  7. “Administrator account” – The account is first created when the account owner registers a customer store on www.keivi.com.
  8. “You” – Account owner or employees granted an account to access the store; those who visit and learn information on the website www.keivi.com.
  9. “Keivi” – KiotViet Technology Corporation.
  10. “Third Party” – Customers, partners, suppliers of the store or Keivi.
  11. “Store Data” – Electronic data stored on the store that is restricted to access by accounts established by the account owner.
  12. “Common area” – Home page www.keivi.com; login screen; footer of pages, logo area of pages on the web interface and Keivi application on the smartphone.
  13. “Private area” – Sales screen page, content section of management pages.
  14. “Feature” – Features currently available and being provided on www.keivi.com.

1.2 Scope of Application

These Terms of Use apply to Keivi Store Management Software Service, the official version running on Keivi's server under the official domain name www.keivi.com and the Keivi application. Keivi maintains the website www.keivi.com and subdomains as a service provided to customers but not limited to individuals and organizations. When using this Website and any service here, it means that you have accepted and agreed to comply with these Terms of Use. In addition, when using specific Services of Keivi, you must comply with the separate terms and conditions applicable to that Service from time to time. Keivi may change and adjust these Terms of Use, you can view the updated information at any time at www.keivi.com. If you continue to use the Service, it means that you accept and agree to comply with the newly updated Terms of Use. Any violation by You of these terms and conditions may result in the suspension or termination of your account, Services, or other authorized activities under the Keivi Service Terms of Use Agreement.

1.3 Fair Use

You must be aware and accept that You are responsible for using the Service for business purposes in accordance with current laws and Vietnamese customs. You may not use the Service to propagate obscene content, anti-state content, spam and/or unwanted information to other organizations and individuals in the system in any form.

1.4 Intellectual Property Rights

Website www.keivi.com, Keivi application is copyrighted by KIOTVIET TECHNOLOGY CORPORATION.
All content on the Website is owned by Keivi. Keivi allows You to view, download and print the Content when (i) Using it for personal purposes, not for commercial purposes; (ii) Not editing the Content. (iii) Citing the source from the Website in accordance with the regulations. Except for the permission as above, You are not allowed to copy, adjust or reuse the Website Content without the prior written permission of Keivi. To request the use of the Content, You can contact the address: www.keivi.com. If approved, You must ensure that Your use of the Website Content does not violate the rights and interests of other individuals/organizations and must clearly state the source from www.keivi.com.

1.5 Information Security

You are responsible for maintaining your Store access information to avoid the case of your account being stolen and/or abused for unsafe purposes for both You and Keivi. Keivi is not responsible for unauthorized access by third parties to Your Store due to Your carelessness. Keivi recommends that You change your password after providing the password to relevant parties for the purpose of supporting use. In addition, Keivi is committed to strictly complying with the regulations on personal data protection for Your information and Your Store.

1.6 Troubleshooting

You are responsible for immediately notifying Keivi when detecting an incident, and actively cooperating with Keivi to resolve it for You as soon as possible. In case the incident involves a Third Party, You are responsible for coordinating with relevant parties to resolve it. You understand and accept that, in all cases, Keivi always tries to support and resolve it, however, Keivi will not be responsible for any damages arising from Your delay in notifying or concealing or force majeure for objective reasons.

1.7 Limitation of liability

Keivi will not bear any responsibility or joint responsibility for the consequences of unauthorized access to the server, Website, and Keivi Application; Your equipment and data, or Your customer data due to accidents, illegal means, Third Party equipment, and other causes beyond Keivi's control.
As a condition of using this Website and Services, You agree that Keivi, its employees, member organizations, shareholders, agents, and suppliers will not be liable to any third party for any loss of profits, business opportunities; damages, or costs arising directly or indirectly from connecting to this Website or using Keivi Services.
Keivi will not bear any responsibility or joint responsibility for the quality of products, services, or information of third-party websites linked to the website www.keivi.com. In addition, You also understand that Keivi has no responsibility or authority to confirm or certify information and quality of services, or products or compensate for damages related to Your use of services, or products advertised on that website. Keivi recommends that You carefully research partners before promoting cooperation to avoid unwanted damages. Keivi does not guarantee nor is responsible for Your business results after using the service.

1.8 Service Delivery Guarantee

The Website and the Services, Features are provided on an “as is” basis. Keivi does not guarantee that the Website or the Services will always be available, usable, uninterrupted, timely, or error-free. However, Keivi and its employees are committed to making every effort under all possible conditions and capabilities to ensure that the Website and Services are always available.
You should note that this Website and the Services are based on Internet transmission services and may be subject to power outages or interruptions, external attacks, and delays. In such cases, for these terms, Keivi commits to make every effort to overcome the interruption and to make adjustments, repairs, and replacements within its capacity to restore the system.

1.9 User Manual

You can access and look up the instructions on the User Guide page or the Video Tutorial. Keivi may not provide you with any user manuals in printed form. The user manual is sent by Keivi with the account confirmation email immediately after you successfully register for an account.

1.10 Use of Common Areas

You understand and accept that Keivi has the right to manage, exploit, and use the Common Area on the Website at Keivi's sole discretion and consideration. Any request from You to use the Common Area on the Website for Your purposes may be charged in addition to the service fee specified in the Contract.

1.11 Use of Private Areas

You have full rights to use the password-protected Private Area for your activities. Keivi does not interfere and is not responsible for your actions affecting data and information in the Private Area. Any requests arising from the use of the Private Area that are not included in the initial commitment may be charged in addition to the service fee specified in the Contract.

1.12 Access to Private Areas

You understand and accept that Keivi has the right to access Your private area when (i) Keivi has Your consent and (ii) the purpose of access includes support for use; troubleshooting; when You have a request and serving emergencies, preventing unauthorized access or external attacks; (iii) Keivi fully complies with regulations on personal data protection during access.
You understand and accept that You do not have the right and have no right to request access to the private area of ​​Keivi, the Service, System, and Website Administration area.

1.13. Contact information

Keivi encourages you to contact Keivi Customer Support Center when you need support. You can use the tool in the Contact section to send specific requests in case the contact channels via hotline or phone are not available.
Admin Account information after successfully registering a Store, automatic notifications from the system, password change confirmation, and forgotten passwords are sent to You from Keivi’s email. All automatic notifications from other sources are not reliable, in case You receive an email not from the above source, Keivi recommends that You immediately contact the Customer Support Center for support.
Keivi recommends that You only send Store Data information for support and implementation purposes to Keivi’s email. Keivi does not guarantee that Your Store Data is secure if You send it to an email other than the email stated in these Terms of Use or the personal email of Keivi's Employees, Collaborators, and Agents.

1.14. Brand

The Keivi brand, and Keivi logo... have been exclusively registered as trademarks of Keivi in Vietnam and other countries. Keivi has the legal right to supplement and adjust the list of these brands and trademarks from time to time. You may not register, intentionally or unintentionally, any similar trademark or logo that may cause confusion or overlap with the exclusively registered trademarks and logos. You must comply with all standards set forth by the Keivi brand and Keivi logo and must use them in accordance with Keivi's regulations.

1.15. General Terms

If any provision of these Terms of Use is found to be invalid or unenforceable for any reason, it will only affect the provision that is determined to be invalid and will not affect the validity of the remaining provisions. If there is a discrepancy between these Terms of Use and the Service Agreement, the most recent provision will prevail.

1.16. Keivi Application

If You have downloaded the Keivi Application from the App Store, the following terms will be added and effective:
This Agreement is an agreement between You and Keivi, and not with the App Store. Keivi is solely responsible for the Keivi Application. You understand and accept that the App Stores are not obligated to provide maintenance or support services to You in using the Keivi Application;
When using the Keivi Application, You understand and accept that we have the right to use the following system APIs to access data on Your phone for the following purposes: (1) Read and write to the phone book, (2) Get Your current location, (3) Write Keivi Application data to the memory card, (4) Access the Internet from Your device. All of these accesses are only performed by us with Your legal consent. You understand and accept that, when You have granted permission and agreed to us to access, You will not have the right to complain, denounce or initiate a lawsuit according to the law regarding our access;
Keivi Application installed on Your device has an operating mode even when Your device is in a state of losing Internet connection; Keivi does not guarantee that the data You are viewing on the Application is the latest data of the system, so You understand and ensure that the device is in a state of network connection when You need to access the latest business data;
You understand and accept that You are responsible for keeping the device and/or devices with the Keivi Application installed under control and safe; Keivi is not responsible when Your business data is stolen or exploited due to Your carelessness;
You must comply with the App Store terms of service, including usage rules.

1.17. Third Party Linked Services

Affiliated Services are value-added services, with or without service charges, provided by Keivi and Third Parties in cooperation with users of Keivi software.
You understand and accept that Your use of Third Party Linked Services is outside the agreements between You and Keivi as stipulated in the contract for providing Keivi management software services, and You will bear all responsibilities related to the use of Linked Services provided by Third Parties.
When using the Linked Service with a Third Party, You understand and agree to the terms of use of the Linked Service and agree to share the information and data necessary to use the Linked Service. Keivi only shares the information and data that You have agreed to share and is necessary for the Third Party to be able to provide the Linked Service. You can refer to the terms of use of the Linked Service with a Third Party for more information and data shared when using the Linked Service.

II. Privacy Policy

2.1. What information and data will be collected by Keivi?

Keivi will ask customers to provide basic personal data including the following:

  • Login name, login password
  • Email, phone number, address
when customers register to use Keivi's services and some other information and data (if any) when customers want to interact with some content on the Keivi website and application.
Keivi will only collect this information and data of customers when necessary for legitimate and legal purposes to serve the interests of customers in the process of using Keivi's services. Your access, registration, and use of Keivi means that you have clearly understood and agreed to be bound by the provisions of our privacy policy.
Customers will be responsible for the security and retention of all activities using the service under their registered name, password, email address and/or phone number. Keivi is not responsible for any data loss or customer information confidentiality caused by customers unintentionally or intentionally.
In addition, Customers are responsible for promptly notifying Keivi of any unauthorized use, abuse, security breach, or retention of third-party registration names and passwords for appropriate action.

2.2 Services and applications linked to Keivi

To ensure the best benefits and experience for Customers, Keivi applies some separate terms when Customers use services and applications provided by Keivi or linked to Keivi: A. For customers using the Keivi Application from App Store or GooglePlay, you clearly understand and agree that Keivi has the right to:

  1. 1) Get your current location;
  2. 2) Write Keivi Application data to a memory card;
  3. 3) Access the Internet from your device.
All such access is only made by us with your consent. You expressly understand and agree that, once you have granted us permission, you will not have any complaints regarding this access. B. For the Customer's Facebook account when linking Keivi, Keivi will request access to the following information:
  1. 1) Access to the email address of the Facebook Page used to integrate with Keivi;
  2. 2) Access to the set of public items on the Facebook Page integrated with Keivi;
  3. 3) Allows access to a set of public items on the User's Personal Account that interacts with the Facebook Page integrated with Keivi;
  4. 4) Allow access to the mailbox on Facebook Page integrated with Keivi via Keivi;
  5. 5) Allow sending and receiving messages and comments on Facebook Page integrated with Keivi through Keivi.

2.3 Scope of information use

Keivi uses the information provided by Customers to:
  • Provide services to Customers.
  • Send notifications about information exchange activities between Customers and Keivi's Technical Support unit.
  • Prevent activities that destroy Customer user accounts or activities that impersonate Customers.
  • Contact and deal with customers in special cases.
  • Keivi is responsible for cooperating in providing Customer's personal information when requested by competent state agencies.
  • Share necessary information with partners if receiving the Customer's consent.

2.4 Information storage time

In all cases, Customer's personal information will be kept completely confidential on Keivi's server. Customers have full rights as prescribed for this Personal Data. However, in some cases, Keivi can still restore such information from our database to resolve disputes, enforce terms of use, or for technical and legal requirements related to the safety and operations of Keivi according to the law.

2.5. Address of the unit collecting, managing information and supporting Customers

2.6. Means and tools for Customers to access and edit their data

Customers have the right to check, update, and adjust their personal information by logging into their account and editing personal information or requesting Keivi to do this.
Customers have the right to send complaints about the disclosure of personal information to third parties to Keivi's Board of Directors. Upon receiving these responses, Keivi will confirm.

2.7. Commitment to protecting Customer's personal information

Keivi commits to absolute confidentiality according to Keivi's personal information protection policy and current legal regulations on personal data protection. The collection and use of each Customer's information is only carried out with the legal consent of that Customer, except in cases where the law provides otherwise. Keivi commits to:
Do not use, transfer, provide, or disclose to any third party any personal information of the Customer without the permission or legal consent of the Customer, except in cases where the law provides otherwise.
Absolute security of all online transaction information of Customers including invoice information, and digitized accounting documents in Keivi's secure central data area.
